Find the Contract Spine Before You Redline
Identify the five formation elements that make a contract enforceable before reviewing business terms.
The first review question is not 'Do I like this clause?' It is 'What bargain is this clause attached to?' Mutual assent Mutual assent is the visible agreement: who offered what, how it can be accepted, and whether the final document shows the same deal.
